Terms of Service

These terms govern your use of the Cortex platform: the CLI, WEB, and IDE products, the LLM gateway, and related services operated by Cortex AI LLC.
Agreement to these terms
By creating an account or using Cortex you agree to these terms. If you use Cortex on behalf of an organization, you confirm you have authority to bind that organization.
If you do not agree with these terms, do not use the service.
Service description
Cortex is an AI coding agent platform. It includes the Cortex CLI for terminal workflows, the WEB workspace for reviewing and orchestrating agent work, and the IDE experience for local code editing with agents.
The platform routes requests to third-party large language model providers through a SOC 2-compliant gateway, meters usage, and can run agent workloads in sandboxed compute environments.
We may change, add, or retire features. Where a change materially reduces a paid capability, we will give reasonable notice.
Accounts and security
You can sign in with email, OAuth providers such as Google or GitHub, multi-factor authentication, or passkeys. You are responsible for safeguarding your credentials and API keys.
- Keep account credentials and API keys confidential.
- Notify us promptly about any unauthorized access.
- Provide accurate account and billing information.
- You must be legally able to enter a contract to hold an account.
Acceptable use
You agree to use Cortex lawfully and in line with the policies of the underlying model providers. In particular, you will not:
- Use the service to develop, distribute, or run malware, or to attack systems you do not own or have permission to test.
- Attempt to bypass rate limits, usage metering, sandbox isolation, or other technical controls.
- Resell or proxy access to the LLM gateway without a written agreement.
- Submit content you have no right to process, or use outputs to infringe third-party rights.
- Use the service to generate content prohibited by applicable law.
Billing and payment
Paid plans combine subscriptions with metered usage. Subscription fees are billed in advance for each billing period. Metered usage, such as model tokens and compute time, is measured by the platform and billed based on recorded consumption.
- Card and bank payments are processed by Stripe. We do not store full card numbers.
- Crypto payments are supported through the x402 protocol using USDC. Crypto transactions are final once settled on-chain, except where the law requires otherwise.
- Prices exclude taxes unless stated. You are responsible for applicable taxes.
- If payment fails, we may suspend or downgrade the account after notice.
- Usage records produced by our metering system are the basis for billing disputes. Raise disputes through the contact page within 30 days of the invoice date.
Intellectual property
You keep all rights to the code, prompts, and other content you submit to the platform, and to outputs generated for you, to the extent permitted by the relevant model provider terms.
We keep all rights to the platform itself, including the gateway, agent harness, web applications, and documentation. Open-source components remain under their own licenses.
You grant us a limited license to process your content only as needed to operate the service, subject to the privacy mode you select. See the Privacy Policy for details.
Third-party model providers
Cortex routes requests to external model providers. Their availability, output quality, and content policies are outside our control. Provider-side outages or policy enforcement are not a breach of these terms.
Disclaimers
The service is provided as is and as available. AI-generated code and answers can be wrong. You are responsible for reviewing outputs before relying on them, especially in production systems.
To the maximum extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, or consequential damages, or for lost profits, revenue, or data.
Our total liability under these terms is capped at the amounts you paid for the service in the 12 months before the event giving rise to the claim. Nothing in these terms limits liability that cannot be limited by law.
Termination
You can stop using the service and close your account at any time. We may suspend or terminate accounts for material breach of these terms, for non-payment, or where required by law, with notice where practicable.
After termination you lose access to the platform. Data deletion follows the retention rules in the Privacy Policy.
Changes to these terms
We may update these terms. For material changes we will give notice before they take effect, for example by email or an in-product message. Continued use after the effective date means you accept the updated terms.
Governing law
These terms are governed by the laws of the State of Delaware, United States. The courts of the State of Delaware have exclusive jurisdiction, subject to mandatory consumer protections in your country of residence.
